PNC Infratech Limited ("the Company"), along with its wholly owned subsidiary, PNC Infra Holdings Limited ("PNC Infra"), is pleased to announce the successful completion of the sale of its equity stake in PNC Challakere (Karnataka) Highways Private Limited, a Hybrid Annuity Mode (HAM) road project, to Vertis Infrastructure Trust ("VIT"), an Infrastructure Investment Trust sponsored by affiliates of KKR.
This transaction marks the conclusion of the final tranche of the strategic divestment initiative announced in January 2024, wherein the Company had entered into definitive agreements with VIT to divest a portfolio of 12 road assets comprising 11 National Highway Hybrid Annuity Mode (HAM) projects and 1 State Highway BOT (Toll) project, having a total aggregate length of approximately 3,800 lane-km across Uttar Pradesh, Madhya Pradesh, Karnataka, and Rajasthan.
With the successful transfer of PNC Challakere (Karnataka) Highways Private Limited, the Company has now completed the divestment of all the 12 assets under the said definitive agreement. The transaction was concluded at an Enterprise Value of Rs. 683.84 crore, which includes Rs 80.48 crore received towards Equity and Rs 134.94 crore received towards Unsecured Loans on March 27, 2026.
The completion of this transaction represents a significant milestone in the Company's asset monetization strategy, enabling it to unlock value from its operational asset portfolio, strengthen its balance sheet, and enhance financial capability for future investment opportunities.
Shares of PNC Infratech Limited was last trading in BSE at Rs. 169.35 as compared to the previous close of Rs. 178.40. The total number of shares traded during the day was 69319 in over 1311 trades.
