Havells India Ltd enters into settlement agreement with HPL Group

A Settlement Agreement has been signed between the Company viz. Havells India Limited And the HPL Group and its promoters.

This Settlement Agreement resolves all pending disputes and litigations related to the use of word / mark 'HAVELLS', including suits filed in various Court(s) including the Delhi High Court and various Special Leave Petitions (SLPs) filed in the Supreme Court. The Hon'ble Delhi High Court had referred these disputes to Mediation, and the settlement was reached and executed yesterday on 8th November 2025.

As part of the settlement, the HPL Group acknowledges Havells India Limited & its promoters' absolute rights to the 'HAVELLS' mark since 1971. HPL Group has waived any claims to the 'HAVELLS' mark and has undertaken not to use or challenge the mark in any form. Additionally, the HPL Group has agreed to change the corporate name of its entities, namely, Havell's Private Limited and Havells Electronics Private Limited, to names not containing 'HAVELLS.'

As a onetime full and final settlement, Havells India Limited will pay an amount of Rs. 129.60 crores to the HPL Group.

Shares of Havells India Limited was last trading in BSE at Rs. 1449.20 as compared to the previous close of Rs. 1442.35. The total number of shares traded during the day was 114830 in over 2137 trades.

The stock hit an intraday high of Rs. 1465.50 and intraday low of 1430.15. The net turnover during the day was Rs. 166660723.00.

Shares of HPL Electric & Power Limited was last trading in BSE at Rs. 422.10 as compared to the previous close of Rs. 425.75. The total number of shares traded during the day was 7306 in over 435 trades.

The stock hit an intraday high of Rs. 427.00 and intraday low of 414.20. The net turnover during the day was Rs. 3062514.00.
