Serve All Enterprise to merge CES Pvt Ltd with the company

Serve All Enterprise Solutions Ltd has announced that the Board of Directors of the Company at its meeting held on October 31, 2006, inter alia, has discussed and approved the following:

1. Approval for Increasing the Authorised Share Capital of the Company from Rs 5 Crores to Rs 20 Crores.

2. An extraordinary general meeting of the Shareholder will be convened on November 30, 2006 for approving such increase in Authorized Shared Capital.

3. Proposed Merger between the Company and CES Pvt Ltd:

A Proposal to Merge the Company and CES Pvt Ltd was deliberated upon at the Meeting. It was decided to work on the modalities of the Merger Plan between the two Companies including the valuation of shares of both Companies. The Merger Plan will be taken up in the Board meeting which shall be conducted tentatively on November 25, 2006.
