Yash Innoventures Limited (BSE: 523650), formerly known as Redex Protech Limited, today announced that its Board of Directors has approved a proposal to raise capital through a secured loan facility. The decision was finalized during a Board meeting held this afternoon between 3:30 p.m. and 4:00 p.m.
Key Terms of the Borrowing Facility
The Board of Directors has cleared the path for the company to secure long-term debt financing to back its ongoing business operations and financial planning:
Lending Institution: Cholamandalam Investment and Finance Company Limited (CIFCL).
Total Facility Amount: Up to ₹1,53,00,000 (Rupees One Crore Fifty-Three Lakhs Only), which may be drawn down in one or more tranches.
Maximum Interest Rate: Capped at 10.50% per annum.
Loan Tenure: Up to a maximum of 168 months (14 years).
The transaction complies fully with Section 180(1)(c) of the Companies Act, 2013, falling safely within the overall borrowing limits previously authorized by the company's shareholders.
Collateral and Security Details
To secure the loan facility, Yash Innoventures will mortgage its key commercial real estate asset in Gujarat:
Mortgaged Asset: Immovable corporate property situated at 1st Floor, Corporate House No. 3, Parshwanath Business Park, Behind Prahladnagar Garden, S.G. Highway, Ahmedabad - 380014, Gujarat.
The Board has fully authorized the company's Managing Director, Mr. Gnanesh Rajendrabhai Bhagat, to negotiate, finalise, and execute all financial agreements, promissory notes, and security documents with CIFCL. He is further tasked with executing the registration of the property charge with the Registrar of Companies (RoC).
Shares of REDEX PROTECH LTD. was last trading in BSE at Rs. 30.82 as compared to the previous close of Rs. 30.49. The total number of shares traded during the day was 7534 in over 38 trades.
