Warren Tea Ltd Board approves amalgamation of the Company with Maple Hotels & Resorts Limited

The Board of Directors of Warren Tea Limited ["WTL" / "Transferor Company"] at its meeting held on June 30, 2025, considered and approved Scheme of Arrangement for the proposed amalgamation / arrangement of the Companywith Maple Hotels & Resorts Limited ["MHRL" / "Transferee Company"]. The Board has considered the proposal based on independent fairness and valuation opinions, and followed the process laid down under the Companies Act, 2013 and Securities and Exchange Board of India Regulations.

Based on the reports of the independent valuers, the Board has approved swap ratiofor the proposed amalgamations as below:

- In lieu of every 1 equity share of Warren Tea Limited held, 1 equity share of Maple Hotels & Resorts Limited will be issued.

The proposed amalgamation/ arrangementwill enhance the potential for business and yield beneficial results for both the Companies.MHRL is an Associate Company of WTL.The amalgamation/ arrangement of these Companies will lead to better administrative control, prevention of cost duplication, and effective utilization of funds advancing the business objectives under unified management.The Transferee Company will offer a strong financial structure and facilitate resource mobilization to achieve better cash flows. The synergies created by the Amalgamation / arrangement would increase the operational efficiency and create a platform for expansion of future business activities acting as a gateway for growth.

The Boards of the both MHRL and WTLhave also considered the proposals following due process and have unanimously approved the Amalgamation / Arrangement.

TheScheme of Amalgamation/ Arrangement will now move into a defined regulatory approval process, which includes approval by the BSE Limited, SEBIand the NCLT.

Shares of WARREN TEA LTD. was last trading in BSE at Rs. 60.81 as compared to the previous close of Rs. 57.97. The total number of shares traded during the day was 17798 in over 178 trades.

The stock hit an intraday high of Rs. 63.00 and intraday low of 57.80. The net turnover during the day was Rs. 1073391.00.
