Syschem India Limited allots 31 lakh warrants, 17.50 lakh shares

The Board of Directors of Syschem India Limited in their meeting held today has made allotment of 31,00,000 Fully Convertible Warrants ("Warrants"), being convertible into equivalent number of Equity Shares of face value of Rs. 10/- each, at an issue price of Rs. 10.00 each, in accordance with SEBI (ICDR) Regulations, 2018 and applicable rules, to the following persons on preferential basis on receipt of the Subscription amount equivalent to 25% of the Issue Price:
Mr. Ranjan Jain (Promoter) - 30,00,000
Mrs. Chhaya Rani (Non-Promoter) - 1,00,000
The above warrants entitle the allottee(s) to apply for and be allotted equal number of Equity shares for each warrant(s) held by them on payment of balance 75% of the issue price and the same shall be allotted within a period of eighteen months (18 months) from the date of allotment of warrants.
The Board of Directors of the Company in their meeting held today has made allotment of 17,50,000 number of equity shares of face value of Rs. 10/- each, at an issue price of Rs. 10.00per share, in accordance with SEBI (ICDR) Regulations, 2018 and applicable rules, to Mrs. Ruchika Jain (Promoter) on preferential basis on receipt of the subscription amount.
Pursuant to above allotment of Warrants, presently there is no change in the paid up share capital of the Company.
However pursuant to allotment of equity shares, the share capital structures of the company got changed the Authorized Share Capital of the Company be and is hereby increased from 25,00,00,000/- (Rupees Twenty Five Crores only) divided into 2,30,00,000 (Two Crore Thirty Lac only) Equity Shares of 10/- each and 2,00,00,000 (Two crore only) Non-cumulative Non-Convertible Preference shares of Rs. 1/- each to 30,00,00,000/- (Rupees Thirty Crores only) divided into 2,80,00,000 (Two Crore Eighty Lac only) Equity Shares of 10/- each and 2,00,00,000 (Two Crore only) Non-cumulative Non-Convertible Preference Shares of Rs.1/- each by creating additional 50,00,000 (Fifty Lac only) Equity Shares of 10/- each.
Shares of Syschem (India) Ltd. was last trading in BSE at Rs. 8.2 as compared to the previous close of Rs. 7.91. The total number of shares traded during the day was 5957 in over 28 trades.
The stock hit an intraday high of Rs. 8.2 and intraday low of 7.81. The net turnover during the day was Rs. 48267.
