Faze Three Board to recommend dividend

Faze Three Ltd has announced that a meeting of the Board of Directors of the Company will be held on August 29, 2007, inter alia, to consider the following:

1. Determination of Date for holding 22nd Annual General Meeting of the members of the Company for the year ended on March 31, 2007.

2. Consolidation of Face Value of Equity Shares of the Company from 5 equity shares of Rs 2/- each into one equity Share of Rs 10/- each.

3. Allotment of convertible warrants on preferential basis u/s 81(1A) of the Companies Act, 1956 and relevant SEBI regulations.

4. Increase in borrowing limits pursuant to the provisions of Section 293(1)(d) of the Companies Act, 1956.

5. Recommendation of Dividend on Equity Shares of the Company.
