Open Offer for Vanasthali Textile at Rs.12.50

Chartered Capital & Investment Ltd ("Manager to the Offer"), on behalf of Mr. Rajendra Goenka, Mr. Beni Prasad Goenka, Mrs. Anjana Devi Goenka, Mr. Amit Goenka, Mr. Sushil Goenka, Mrs. Sushila Goenka, Mrs. Asha Devi Goenka, Mr. Vishal Goenka and Mr. Sunil Goenka ("Acquirers") has issued this Public Announcement ("PA"), to the equity shareholders of Vanasthali Textile Industries Ltd ("Target Company"), pursuant to Regulations 10 & 12 as required under the Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 (hereinafter referred to as "SEBI (SAST) Regulations, 1997") and subsequent amendments thereto.

The Offer:

The Acquirers intends to make an Open Offer in terms of the SEBI (SAST) Regulations, 1997 to the shareholders of the Target Company to acquire 39,62,500 equity shares of Rs 10/- each representing 20% of paid up equity capital & voting capital of the Target Company at a price of Rs 12.50 per fully paid-up equity shares ("Offer Price"), payable in cash subject to the terms and conditions mentioned in PA.
