Ramrupai Balaji Steels Ltd (Transferor Company) and Jai Balaji Industries Ltd (Transferee Company) as approved by the Hon'ble High Court at Calcutta and filed with Registrar of Companies, West Bengal, on July 23, 2007, for the purpose of determining the eligibility of members of Shri. Ramrupai Balaji Steels Ltd for allotment of equity shares of Jai Balaji Industries Ltd as per the Swap Ratio of 1 Equity Share of Rs 10/- each, fully paid-up of Jai Balaji Industries Ltd for every 3 Equity Shares of Rs 10/- each, fully paid-up of Shri. Ramrupai Balaji Steels Ltd, as mentioned in the Scheme of Amalgamation.
