VC Corporate Advisors Pvt Ltd ("Manager to the Offer") for and on behalf of Mr Ritesh Bawri, Mr Vinay Bawri, Ms Mala Bawri & Ms Nisha Bawri Singh ("Acquirers"), has issued this Public Announcement to the Equity Shareholders of Vinay Cements Ltd ("Target Company" ), which is in continuation of and should be read in conjunction with the Original Public Announcement ("PA") dated February 06, 2007, pursuant to and in compliance with Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997 & subsequent amendments thereto ("the Regulations"). The shareholders of the Target Company are requested to kindly note the following:

The SEBI's observation on the draft Letter of Offer filed on February 17, 2007 is awaited, therefore earlier announced dates mentioned in schedule of activities in the PA and draft Letter of Offer will undergo a change and the revised schedule of activities will be announced separately.

The Other terms & Conditions of the offer remain unchanged.

Shares of the company were trading at Rs.31.70, up by Re.0.10 or 0.32% on volume of 345 shares compared to 2 week average quantity of 28375 shares.
