Coromandel Fertilisers announces Open Offer to the shareholders of Godavari Fertilisers & Chemicals

Kotak Mahindra Capital Company Ltd ("Manager to the Offer") for and on behalf of Coromandel Fertilisers Ltd ("Acquirer") has issued this Public Announcement ("PA") to the shareholders of Godavari Fertilisers & Chemicals Ltd ("Target Company"), pursuant to and in compliance with, among others, regulation 11(1) and regulation 12 of the Securities & Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 1997, as amended ("Regulations") issued by the Securities & Exchange Board of India ("SEBI").

The Offer

The Acquirer proposes to acquire up to 64,00,000 shares of the Target Company ("Offer Size") representing 20.00% of the Share Capital at a price of Rs 150/- for each share of the Target Company ("Offer Price"), to be paid in cash in accordance with the regulations.
