NDTV to acquire GoodTimes channel

The Board of Directors of New Delhi Television Limited ("NDTV"), at its meeting held on September 19, 2025, has approved the proposal to acquire the business undertaking comprising the "GoodTimes" Channel ("Business Undertaking") from Lifestyle & Media Broadcasting Limited ("LMBL") by way of slump sale on a going concern basis.

NDTV and LMBL have today executed a binding Term Sheet setting out the agreed terms of the proposed transaction. The acquisition will be consummated through execution of a Business Transfer Agreement ("BTA") and other ancillary documents, subject to fulfilment of customary conditions precedent, including obtaining requisite corporate approvals and regulatory approvals from the Ministry of Information and Broadcasting, Government of India.

The acquisition of the "GoodTimes" business undertaking will strengthen the Company's strategic positioning, diversify and expand its operational capabilities, and enhance long-term stakeholder value.

Lumpsum consideration of upto Rs. 18 crore on a cash-free debt-free basis, subject to adjustments in accordance with the terms and conditions set out in the Term Sheet.

Shares of New Delhi Television Limited was last trading in BSE at Rs. 129.55 as compared to the previous close of Rs. 123.40. The total number of shares traded during the day was 16962 in over 264 trades.

The stock hit an intraday high of Rs. 129.55 and intraday low of 125.95. The net turnover during the day was Rs. 2189506.00.
