RKD Agri and Retail Ltd board approves preferential issue of warrants

The Board of Directors of RKD Agri and Retail Ltd, at its meeting held today i.e. December 21, 2022, considered and approved the issuance of following securities on Preferential basis to Promoters and Non Promoters:

- To issue and allot 3,81,25,000 Warrants convertible into 3,81,25,000 Equity Shares of Re.1/- each to the Promoters at a price to be determined in accordance with the pricing formula prescribed under Chapter V of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable rules, regulations and guidelines of SEBI and applicable provisions of Companies Act, 2013.

- To issue and allot 1,60,75,000 Warrants convertible into 1,60,75,000 Equity Shares of Re.1/- each to investors/ Public (Non Promoters - Public Category) at a price to be determined in accordance with the pricing formula prescribed under Chapter V of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable rules, regulations and guidelines of SEBI and applicable provisions of Companies Act, 2013.
