eClerx Services Limited board approves buy back of shares at Rs. 2850

The Buy Back Committee of the Board of Directors of eClerx Services Limited at the meeting held today i.e. September 17, 2021, which commenced at 12.00 p.m. and concluded at 12.55 p.m., have approved the Final Buy Back price of Rs. 2,850/- (Rupees Two Thousand Eight Hundred and Fifty Only) per equity share (the "Buy Back Price" ) and the aggregate amount of Buy Back upto Rs. 3,030 Million (Rupees Three Thousand and Thirty Millions Only) (the "Buy Back Size") excluding any expenses incurred or to be incurred for the Buy Back viz. brokerage costs, fees, turnover charges, taxes such as securities transaction tax and goods and services tax (if any), tax on distributed income on Buy Back, stamp duty, advisors fees, filing fees, public announcement expenses, printing and dispatch expenses, if any, and other incidental and related expenses and charges etc. Wit h t he Buy Back price of Rs. 2,850/- (Rupees Two Thousand Eight Hundred and Fifty Only) per equity sha re and the Buy Back Size of upto Rs. 3,030 Millions (Rupees Three Thousand and Thirty Millions Only), the total number of shares to be bought back in the Buy Back shall be upto 1,063,157 (Ten Lakhs Sixty Three Thousand One Hundred and Fifty Seven Only) equity shares representing 3.05 % of the total number of equity shares in the total paid up equity share capital of the Company.

The board has fixed Thursday, September 30, 2021, as the record date for the purpose of determining the names of the equity shareholders who are eligible to participate in the Buy Back and their entitlements.

Shares of eClerx Services Limited was last trading in BSE at Rs. 2329 as compared to the previous close of Rs. 2353.3. The total number of shares traded during the day was 7497 in over 984 trades.

The stock hit an intraday high of Rs. 2449 and intraday low of 2300. The net turnover during the day was Rs. 17963227.
