RPG Transmission to consider merger with KEC International

RPG Transmission Ltd has announced that a meeting of the Board of Directors of the Company will be held on August 06, 2007, to consider and approve the Scheme of Arrangement under the provisions of Section 391 to 394 of the Companies Act, 1956 envisaging amalgamation of the Company and National Information Technologies Ltd ("NITEL") with KEC International Ltd ("KEC").

KEC is one of the leading Companies engaged in setting-up of power transmission lines, power distribution networks, railway electrification etc.

NITEL is engaged in the business of setting up and operating telecom infrastructure.

The scheme, if approved by the Boards of the respective Companies, would be subject to approval by the members, creditors of the respective Companies and sanction by the relevant High Courts and such other approvals as may be required.
