Kamdhenu Ispat Ltd EGM approves issue of warrants

Kamdhenu Ispat Ltd has announced that the members at the Extra-Ordinary General Meeting (EGM) of the Company held on May 14, 2007, inter alia, has accorded to the Board to create, offer, issue and allot upto 22,00,000 Convertible Warrants carrying a right to subscribe to equal number of Equity Shares of face value of Rs 10/- each at Rs 35.50 per shares (including a premium of Rs 25.50 per shares) of the Company within a period of 18 months from the date of allotment (Warrants) in cash being the price which is not less than price calculated in accordance with the Guidelines for preferential issue issued by SEBI under Securities and Exchange Board of India (Disclosure and Investor Protection) Guidelines, 2000, on the relevant date i.e. the date 30 days prior to the date of this Extra ordinary General Meeting of the Company, where the proposed issue is to be considered and shall be payable on such terms as may be deemed appropriate by the Board, on preferential basis, as per details given below:
