Mahindra & Mahindra Updates on Open Offer to the shareholders of Swaraj Engines

Kotak Mahindra Capital Company Ltd ("Manager to the Offer"), for & on behalf of Mahindra & Mahindra Ltd & Mahindra Holdings & Finance Ltd ("Acquirers"), has issued this Corrigendum to the Public Announcement ("PA"), to the shareholders of Swaraj Engines Ltd ("Target Company"), which is in continuation of & should be read in conjunction with the Public Announcement ("PA") dated March 12, 2007, pursuant to and in compliance with, among others, Regulation 12 and Regulation 10 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 as amended ("Regulations").

The Shareholders of the target Company are requested to note the following:

The Letter of Offer is in the process of finalisation. Subsequently, the original timeline as circulated in the PA stands revised & and a public announcement containing the revised timeline for the Offer will be issued in due course.

Terms used but not defined in this Announcement shall have the same meaning as assigned in the PA.
